Practice Focus
Tom Moody represents regional businesses, private investors and regional and national private equity firms in debt and equity financing transactions, general corporate matters and a variety of corporate transactions, including mergers and acquisitions. He assists growing businesses in raising capital through the private placement of securities, and he advises on entity formation, organization and ownership structures.
Tom has a unique practice for Vermont that includes advising companies that conduct business internationally. His experience includes international corporate ownership structures, off-shore corporations and international financing transactions.
Tom represents borrowers and lenders in many different types of financing transactions, including general business loans, asset-based loans, factoring, floorplan financing, securitization of receivables and other debt instruments.
Tom has represented renewable energy generators in the purchase and sale of generation assets, including numerous hydro-electric and landfill gas generation facilities thoughout the northeastern United States.
Professional Activities
Tom is the current Chair of the Business Association Section of the Vermont Bar Association. He is actively involved with the efforts of several subcommittees of the Business Association Section that are currently working on legislative proposals relating to objectives of business entities and business law. Tom is also a member of the LLC Act Drafting committee of the VBA Business Association Section.
Tom is the former Chair of the firm’s Business Law Group. In that role, he worked to carry out the group’s Action Plan, including managing intake, workloads and the group's training program. Over the past several years, he has created an extensive database of model documents for use by the Business Law Group that covers a wide range of transactions and entity types.
He is recognized as a leading lawyer in the state of Vermont in the areas of corporate/commercial law in
Chambers USA 2010: America's Leading Lawyers for Business. He has been selected by his peers to be included in the 2010 edition of
The Best Lawyers in America® in the fields of corporate law and mergers and acquisitions and has been listed in
Who's Who Legal USA in the fields of corporate law and mergers and acquisitions. He has been selected by his peers for inclusion in the 2010 Corporate Counsel Edition of
Super Lawyers magazine.
Tom is a member of the American Bar Association and a member of the ABA UCC Committee and ABA Section of Business Law.
Community Involvement
Tom is an active member of his community, serving as:
- Director of Catamount Outdoor Family Center (2002 – Present)
- Director and Vice President of the Green Mountain Bicycle Club (2000-Present)
- Founder of the Green Mountain Stage Race and Race Director of the Burlington Criterium (2000-Present)
- Director and Vice President of Lake Iroquois Association
Personal Interests
Tom is an avid skier, sailor and cyclist.
